Change to a Significant Contract

The management of Barlinek S.A. hereby announces that on January 27th 2006 it signed with the State Forestry Company Lasy Państwowe (representing the Treasury with regard to management of property), the General Management of State Forests and Barlinek Inwestycje ltd., based in Barlinek (a dependent body of Barlinek S.A.), Appendix 3 to the Long-Term Co-operation Agreement signed on 08.09.2004 with the State Forestry Company Lasy Państwowe (representing the Treasury with regard to management of property) and the General Management of State Forests. Barlinek S.A. included information about the Contract signed in its Issue Prospectus, Chapter 5, pt 8.1., page 92.

The subject of the contract is co-operation in the field of buying and selling wood. In the Appendix signed, the Parties jointly declare that on 01.02.2006, Barlinek Inwestycje ltd. enters into the rights and obligations of Barlinek S.A. which arise from the Long-Term Co-operation Agreement signed on 08.09.2004.

In connection with the assumption of Barlinek S.A.’s rights and obligations by Barlinek Inwestycje ltd., a company 100% of whose shares are owned by "Barlinek" S.A., those parts of the aforementioned Long-Term Co-operation Agreement, and of Appendices 1 and 2 to that Agreement which read: "Barlinek S.A. ul. Przemysłowa 1, 74-320 Barlinek, entered on the register of companies at the District Court XVII Economic Dept KRS in Szczecin as number KRS 0000018891"

now read:

"Barlinek Inwestycje ltd., based in Kielce at Przemysłowa 1 entered on the register of companies at the District Court X Economic Dept KRS in Kielce as number KRS 0000215412, NIP 5971633360, REGON 812717117".

The remaining entries in the Agreement remain unchanged.

The contract is considered significant owing to the fact that its value exceeds 10% of BARLINEK S.A.’s ownership capital.
