Declaration in the matter of corporate governance

The management of Barlinek S.A. hereby declares that the Company will adhere to the principles of corporate governance contained in the document “Good Practices in Public Companies 2005”, passed by Resolution 44/1062/2004 of the Board of Warsaw Stock Exchange SA on December 15th 2004, in the fields outlined in the attachment.

Management also states that with reference to those principles affecting the obligations of Company bodies other than Management, it undertakes to make the effort within its rights so that all those who have obligations are familiar with the contents of “Good Practices in Public Companies 2005” and with Managements position regarding adherence to these practices.
